Constitution of the Ilesa Grammar School Old Students’ Association

ARTICLE II

AIMS AND OBJECTIVES

The aims and objectives of the Association shall be as follows:

To bring together under one common platform all the branches (and sets) of ILEGSOSA. ARTICLE I

NAME AND MOTTO

The association shall be called “Ilesa Grammar School Old Students’ Association”, herein abbreviated as “ILEGSOSA”. The Motto of the Association shall be “E HUWA OMOLUWABI” (PLAY THE MAN).

To foster in all Old Students the spirit of comradeship and cooperation.
To stimulate and engender a sense of loyalty and dedication to the good cause of Ilesa Grammar School.
To undertake suitable programmes which, among other things, are capable of promoting literary, sporting and social activities which shall serve as a source of encouragement and improvement to the current students of the school.
To study carefully any problems confronting the school and render appropriate assistance.
In furtherance of these aims and objectives, the Association shall raise by subscription from its members and by raising funds through other legitimate means for the execution of its programmes and for rendering every necessary assistance to the School.

ARTICLE III

MEMBERSHIP

The National Body shall consist of all constituent branches (and sets) of ILEGSOSA registered with the National Secretariat.
Not less than 10 members shall constitute a registered Constituent Branch (Set).
The National Secretariat shall be based at Ilesa Grammar School.
ARTICLE IV

OFFICERS
The officers of the Association shall consist of:

The President
The Vice-President
The Secretary-General
The Assistant Secretary-General
National Publicity and Mobilisation Secretary
National Welfare and Social Secretary
National Financial Secretary
National Treasurer
Auditor
Patron
DUTIES OF OFFICERS
The President shall:

Preside at all Annual General Meetings, the Executive Council Meetings and other Meetings of the Association.
Summon the Annual General Meeting and other meetings either on his own initiative or in accordance with the decision of the Executive Council or at the requisition of two registered constituent branches for an Extra-Ordinary General Meeting in accordance with Article VI (b).
Direct the officers of the Association in the performance of their duties.
Be an ex-officio member of all committees of the Association.
Submit a Presidential Address to the Annual General Meeting of the Association.
The Vice-President shall:

In the absence of the President, preside at all meetings in which the President has power to preside.
Perform all other duties which the President, owing to ill-health or absence from the country is unable to perform or as shall be ascribed to him by the President, Executive Committee or the Annual General Meeting.
The Secretary-General shall perform all the duties normally performed by a Secretary including:

To summon, on the instruction of the President or on requisition, the Annual General Meeting, the Executive Council Meetings and other Meetings of the Association.
To record and keep minutes of all meetings.
To write and dispatch circulars, letters and other correspondences of the Association or the Executive Committee.
To keep an updated roll of all members.
To submit a general report of the activities of the Association at the Annual General Meeting and furnish any special reports of the Association.
To furnish any special reports of the activities of the Association.
To be responsible for the general management of the Secretariat of the Association.
To be an ex-officio member of all committees of the Association.
The Assistant Secretary-General shall:

He shall assist the Secretary-General in the performance of all Secretariat duties and shall, in the absence of the Secretary-General, act in his place.
National Publicity and Mobilisation Secretary shall:

Publicise through different outlets, the activities of the Association including social events.
Issue statements and release on matters of general interest to the Association, in consultation with the President and/or the Executive Committee.
Present to the public at all times the correct and progressive image of the Association and the Alma matter.
Ensure the smooth running of all (social) media outlets of the Association.
Centrally coordinate, in consultation with the Secretariats of all Sets and Chapters, mobilisation of all members of the Association for the purpose of participation in activities relating to the Association and the Alma mater.
The National Financial Secretary shall:

Collect and pay all monies promptly to the Treasurer within 48 hours.
Be in constant touch with the Branches (and Sets) to ensure that all the registered Constituent Branches pay their dues as prescribed by this Constitution.
Prepare and publish regularly the list of contributions, donations, levies and defaulters.
Circulate such lists to the Annual General Meeting and the Executive Council.
The National Treasurer shall:

Receive, collect and pay to the Association’s Bankers (within 7 days) all monies collected for or paid to the Association.
Invest the money of the Association in such securities as may be approved by the Executive Council.
Carry out any decision or directive of the Annual General Meeting and the Executive Council matters relating to the budget or finances of the Association.
Prepare and cause to be prepared and circulate to every member of the Association as may be required, annual Statements of Accounts of the Association.
Prepare the Annual Budget for the Annual General Meeting.
Submit an annual financial report at the Annual General Meeting.
The National Welfare and Social Secretary

The National Social and Welfare Secretary shall coordinate all activities relating to welfare and social matters of the Association.
The National Auditor shall:

Audit the books and accounts of the Association at least once a year and submit to the Association a report there on showing: any faults or irregularities and suggestions for improvements on the finances of the Association.
Submit an annual report at the Annual General Meeting.
Patrons

Suitable old students of the school, who must have demonstrated clear evidence of abundant interest in the affairs of the Association and the school, and who may no longer be eligible to contest for office as member of the National Executive Council for reasons of the Constitution or age, shall qualify to be appointed Patrons, subject to a maximum of FIVE Patrons at any time.
It shall be the duty of the Person so honoured to seek and promote the interest and well-being of the Association and the School at all times.
Patrons may attend any meetings of the Executive Council and the General House at will or as may be required.
ARTICLE V

The Executive Committee
The Executive Committee shall consist of all officers of the Association, the Chairmen of all branch Associations and the immediately past President.
The Executive Committee shall have the power to co-opt such members as may be needed for a specific purpose into the Executive Council.
Duties of the Executive Council
Meet at such time, place/means as may be decided.
Exercise control over and manage the finances of the Association.
Express the views of the Association upon any matter of public interest of affecting the Alma matter.
Make all necessary arrangements for the Annual General Meeting or any other general meeting of the Association.
Appoint any suitable member of the Association to fill a vacated office and/or perform the duties pertaining to such an office whenever the holder of the office in unable, or unwilling, or fail to act during his tenure of office.
Appoint any suitable banker for the Association.
To administer the affairs of the Association.
ARTICLE VI:

NATIONAL WORKING COMMITEE

The National Working Committee shall consist of all elected national officers of the association, as well as Presidents and Secretaries of all registered Sets and Chapters.

The National President shall be the Chairman of the NWC, while the Secretary of the NWC shall be drawn from presidents/secretaries of Sets (who are not National Officers)
The NWC shall meet at least once in a year at Ilesa Grammar School.
The NWC shall serve as an advisory body to the National Executive Committee in all matters relating to administration of the Association.
The NWC shall perform all legislative duties relating to the approval of the annual budget of the Association.
The NWC shall have the power to:
summon an Annual General Meeting of the Association by a resolution signed by at least ten Sets/Branches, where the National Executive Council has failed to call an Annual General meeting;
bring before the Annual General Meeting or any other meeting, any matter it considers material to the Association, her objectives or interests as stated in this Constitution, or which appears to affect the same and to make recommendations in relation thereto;
Do all things necessary to uplift the aims and objectives of the association to the glory of the Ilesa Grammar school and the Society at large.
ARTICLE VII

MEETINGS OF THE ASSOCIATION

The President (or in his absence, the Vice-President) shall preside over the meetings of the association.

Ordinary General Meeting
Which shall be held at least once a year. The quorum for an Ordinary General Meeting shall be the:

President or Vice-President
Secretary-General or the Assistant Secretary General
Representatives of at least three (6) registered Constituent Branches/Sets, provided the total number of members shall not be less than twenty (20).
Extra-Ordinary General Meeting
Which may be summoned at any time at the instance of the President or at the written request of at least two (2) of all registered Constituent Branches, may be called as deemed fit, provided the meeting is attended by the:

(i) President or Vice-President

Secretary-General or the Assistant Secretary General
Representatives of at least three (6) registered Constituent Branches/Sets, provided the total number of members shall not be less than twenty (20).
Annual General Meeting
The quorum for an Annual General Meeting shall also be twenty (20) made up of at least;

(i) President or Vice-President

Secretary-General or the Assistant Secretary General
Representatives of at least three (6) registered Constituent Branches/sets.

The Annual General Meeting shall be held once a year at Ilesa Grammar School. Notice of the Annual General Meeting shall be given in writing two months prior to the date of the meeting.

Members eligible to attend shall be

The officers.
All financial members from each Constituent Branches. Only financial members can vote and be voted for at such meetings.
The Executive Council meeting shall take place as often as the business of the Association shall require and at least two times a year.
The Quorum for the Executive Council meeting shall consist of:

(i) President or Vice-President

Secretary-General or the Assistant Secretary General
Chairmen of at least three (3) registered Constituent Branches/Sets or their representatives.
The Secretary-General shall give members at least two (2) weeks’ notice in writing.

ARTICLE IX

Elections

(i)Elections shall be by secret ballot. Only members from all branches/Sets who have paid all due subscriptions shall be entitled to vote and be voted for.

Tenure

(i)The tenure of officers of the Association shall be for a period of two years. No member shall hold the office of President or Auditor for more than two terms (4) years.

Voting

Voting other than at election meetings shall normally be by show of hands, and decisions shall be by simple majority, except in matters relating to alterations or amendment to the Constitution

Procedure for Nomination of Candidates

Nominations to offices shall be proposed by two (2) members of a registered Constituent Branch and seconded two (2) other members. Such nominations shall be accepted by the nominee and counter signed by the Chairman or Secretary of the registered Constituent Branch.
Nomination of a candidate shall reach the Secretary-General seven (7) days before the date of elections or Annual General Meeting.
Where there are no valid nominations before the date of elections, nominations shall be made on the floor of the house.
A returning officer shall be appointed on the floor of the house to conduct the election. His/her decision shall be final.
ARTICLE X

TERMINATION OF OFFICES

Any of the elective offices can be terminated in any of the following ways and in the manner described under each procedure.

(i) Resignation:

An officer shall indicate his resignation in writing by giving three (3) month notice of his/her intention to resign to the National Secretariat. The resignation shall be effective by a letter of acceptance issued by the Secretariat

(ii) Suspension:

The Executive Council shall have the power to suspend any officer if not fewer than five members of the Executive Committee vote in support of the suspension.

(iii) Removal:

Only the General Meeting shall have the power to remove an officer after a case shall be made against the officer by the Executive Council.

ARTICLE XI

DISCIPLINE

(i) Individual Members

If the conduct of any member is such as to reflect adversely on the Association, the Executive Council shall refer such a matter to the National Working Committee, who shall further refer the matter to the member’s branch executive for appropriate investigation and action.

(ii) Constituent Branch/Sets:

If a Constituent Branch/Set fails to discharge its responsibilities under the Constitution, or as required by the National Body, the Executive Council shall make a report of such a branch/Set to the National Working Committee who shall have the power to penalise such a Branch/Set as it deems fit. The Branch/Set may however on appeal to the General Meeting seek a modification to or termination of all penalty.

ARTICLE X

FINANCE

Enrolment Fee:
Constituent Branches/Sets shall pay an enrolment fee of one thousand five hundred naira (1500.00) each.

Annual Subscription:
Constituent branches/Sets shall also pay an Annual Subscription of one thousand naira (1000.00) for each.

Other Funds:
The Executive of the Association may also raise funds by levies, donations, self-denial funds etc. as it may deem fit.

(d) Management of Funds: The funds of the Association shall be deposited in a commercial bank (or banks). The two signatories to the account shall be:

(i) The Treasurer

(ii) The President or Secretary-General

Constituent branches / Sets shall remit 20 per cent of annual dues of their members to the national body and receipts shall be issued accordingly.
Only members whose 20 percent dues have been remitted by their Sets to the National Body shall be designated as financial members of the Association with all benefits therewith.
ARTICLE X

AMENDMENTS TO THE CONSTITUTION

The Constitution may be amended on the motion of any member representing his branch, who may have given, in the period immediately preceding an Annual General Meeting, at least three months’ notice of the proposed amendment in writing to the Secretary-General and the National Working Committee with the text of the amendment. Such a motion shall require for its adoption, a two-third majority of all members present and voting.
